TERMS AND CONDITIONS OF SALE AND TRANSACTION

These Terms and Conditions of Sale and Transaction govern access to and use of the Kigora.com website and the purchase and sale transactions between customers and KIGO GROUP.

By accessing the Website, registering an account, or placing an order on Kigora.com, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

1. Scope of Application

These Terms apply to:

  • Customers who access the Website, browse product information, or purchase products through Kigora.com.
  • Transactions involving order placement, payment, delivery, package inspection, returns, and refunds conducted through the Website.
  • The use of customer accounts, promotional codes, reward points, and other features or benefits provided by KIGORA, where applicable.

The policies published on Kigora.com, including the Payment Policy, Delivery and Package Inspection Policy, Return and Refund Policy, Information Security Policy, and Complaint Handling and Resolution Procedure, form an integral part of these Terms.

2. Website Operator and Seller

KIGORA is the operator of the Kigora.com website and the direct seller of products to customers.

Kigora.com is not an e-commerce marketplace for third-party sellers. The Website does not permit any other organization or individual to independently establish a storefront, list products for sale, or directly enter into a purchase and sale contract with customers through the Website.

All products purchased through Kigora.com are supplied and sold directly by KIGORA, which is responsible for the relevant sales transactions.

KIGORA is responsible for:

  • Publishing and administering the operating conditions and transaction terms applicable to Kigora.com.
  • Listing product information and selling prices.
  • Announcing promotional programs, special offers, and applicable terms and conditions.
  • Receiving and confirming Orders.
  • Receiving payments or engaging delivery providers to collect payment on delivery.
  • Packaging and arranging delivery of products.
  • Issuing invoices in accordance with applicable law.
  • Receiving and handling customer requests for returns, refunds, feedback, and complaints.
  • Operating and maintaining the Website and implementing reasonable measures to ensure its safe and stable operation within KIGORA’s reasonable control.

3. Affiliate Program

Kigora.com may operate an Affiliate Program or product referral program.

Affiliate partners may promote and refer customers to products through links, referral codes, or other tools provided by KIGORA.

Affiliate partners:

  • Are not sellers on Kigora.com.
  • Do not operate independent storefronts on the Website.
  • May not independently list products or determine selling prices.
  • Do not directly enter into purchase and sale contracts with customers.
  • May not independently collect payments from customers for Orders placed through Kigora.com.
  • May not make commitments regarding promotions, discounts, or policies that differ from those officially announced by KIGORA.
  • May not represent KIGORA or make claims regarding product benefits beyond the official information published by KIGORA.

All purchase and sale transactions conducted through Kigora.com are entered into directly between the Customer and KIGORA.

4. Customer Accounts

Customers may place Orders using a registered account or, where supported by the Website, through a guest checkout process without logging in.

When registering for and using an account, the Customer is responsible for:

  • Providing accurate, complete, and up-to-date information.
  • Keeping their username, password, verification codes, and other account credentials confidential and secure.
  • Not allowing any unauthorized person to access or use their account.
  • Promptly notifying KIGORA if they become aware of any unauthorized access to or use of their account.
  • Not creating or using multiple accounts, or employing technical measures, for the purpose of fraudulently obtaining promotional benefits, reward points, or other benefits.
  • All activities conducted through their account, except to the extent such activities result from an error attributable to KIGORA or a relevant service provider.

KIGORA may suspend, restrict, or terminate a Customer’s account in the following circumstances:

  • The Customer provides false or inaccurate information.
  • There are reasonable grounds to suspect identity fraud or impersonation.
  • There are signs of fraud or abuse of promotional programs, reward points, or other benefits.
  • The account is used to engage in unlawful activities.
  • The Customer attempts to gain unauthorized access to, interfere with, or compromise the security or normal operation of the Website.
  • The Customer seriously or repeatedly breaches these Terms or any policies published on Kigora.com.
  • KIGORA is required to do so pursuant to a lawful request from a competent governmental authority.

Where appropriate, KIGORA will notify the Customer before or when restricting or terminating an account. However, KIGORA may take immediate action where necessary to prevent fraud, security risks, damage, or unlawful activity.

Kigora.com does not provide seller accounts to third parties. Accordingly, the provisions regarding the suspension, restriction, or termination of accounts under these Terms apply to Customer accounts and other user accounts directly administered by KIGORA.

5. Product Information

KIGORA publishes product information based on product labels, product documentation, and materials provided by manufacturers, importers, or entities legally responsible for placing the products on the market.

Product information may include:

  • Product name.
  • Product images.
  • Brand and country of origin.
  • Ingredients and/or key product information.
  • Product benefits and intended uses.
  • Instructions for use.
  • Intended users.
  • Warnings and precautions.
  • Packaging specifications.
  • Selling price and product availability.

Product images are provided for identification and reference purposes. The actual color, appearance, or packaging of a product may differ slightly due to display settings, changes in packaging design made by the manufacturer, or differences between production batches. Such differences do not alter the nature of the product.

Customers are responsible for carefully reviewing the ingredients, instructions for use, intended users, warnings, and precautions stated on the product packaging before use.

For dietary supplements and other products classified as health supplements, the product is not a medicine and is not intended to diagnose, treat, cure, or prevent disease or to replace medical treatment.

6. Prices and Fees

Product prices displayed on Kigora.com are the prices applicable at the time the Customer places an Order.

Before the Customer confirms an Order, KIGORA will clearly display or otherwise provide information regarding:

  • The selling price of the product.
  • Any promotional price, where applicable.
  • Applicable vouchers or discounts.
  • Delivery fees.
  • Any other applicable charges.
  • The total amount payable by the Customer.

KIGORA currently does not charge Customers any platform usage fee for purchases made through Kigora.com.

If KIGORA introduces any service fee applicable to Customers in the future, KIGORA will disclose the following information in advance:

  • The type of fee.
  • The applicable fee or method for calculating the fee.
  • The customers or transactions to which the fee applies.
  • The applicable terms and conditions.

Such information will be provided before the Customer uses the relevant service or confirms a transaction that incurs the applicable fee.

Product prices may be changed from time to time due to changes in promotional programs, product availability, or other business circumstances. Any price change will not affect an Order already confirmed by KIGORA, except where the displayed price is clearly erroneous due to a technical or system error.

If KIGORA discovers that a product price or product information has been incorrectly displayed due to a technical or system error, KIGORA will contact the Customer to:

  • Explain the error;
  • Confirm the Order based on the correct information; or
  • Cancel the Order and refund any amount already paid by the Customer if the parties do not agree to proceed with the transaction.

7. Order Placement and Confirmation

Customers may place Orders through the following basic steps:

  1. Select the desired product and quantity.
  2. Add the product to the shopping cart.
  3. Review the products, prices, promotional programs, discounts, and delivery fees.
  4. Provide the recipient’s information and delivery address.
  5. Select cash on delivery or bank transfer as the payment method.
  6. Review the complete Order details and total amount payable.
  7. Confirm and submit the Order.

Before the Customer confirms and submits an Order, KIGORA will provide complete information or, where appropriate, a summary of the promotional program applicable to the Order, including material terms and conditions that directly affect the Customer’s rights and benefits.

After an Order is submitted, the Website may send an automated acknowledgment through the Website, email, text message, or another available communication channel.

An automated Order acknowledgment does not constitute final acceptance or confirmation that the Order will be fulfilled. An Order becomes confirmed after KIGORA has verified product availability, delivery information, and other relevant conditions.

KIGORA may contact the Customer to verify or confirm an Order before arranging delivery where reasonably necessary.

8. Circumstances in Which an Order May Be Rejected or Cancelled

KIGORA may reject or cancel an Order in any of the following circumstances:

  • The product is out of stock or the requested quantity is unavailable.
  • The recipient’s information is incomplete, inaccurate, or cannot be verified.
  • KIGORA is unable to contact the Customer to verify the Order.
  • The delivery address is outside KIGORA’s service area.
  • The Customer fails to complete a bank transfer in accordance with the applicable payment instructions.
  • There are reasonable grounds to suspect impersonation, fraud, hoarding, or abuse of a promotional program.
  • The product price or other material product information is clearly incorrect due to a technical or system error.
  • The product has been recalled, its circulation has been suspended, or it no longer satisfies the applicable legal requirements for sale.
  • A force majeure event or other disruption beyond KIGORA’s reasonable control occurs.
  • Fulfilling the Order would or may result in a violation of applicable law.

Where a paid Order is cancelled, KIGORA will notify the Customer and process any applicable refund in accordance with the Payment Policy and Return and Refund Policy published on Kigora.com.

9. Promotional Programs, Vouchers, and Special Offers

Promotional programs, discount codes, vouchers, gifts, reward points, and other special offers are subject to the terms and conditions announced by KIGORA from time to time.

Before the Customer confirms an Order, KIGORA will provide complete information or, where appropriate, a summary of the promotional program applicable to the Order.

Depending on the specific promotional program, KIGORA may disclose:

  • The promotional period.
  • Applicable products.
  • The type and value of the promotional benefit.
  • The quantity or availability of promotional benefits.
  • Any minimum Order value.
  • Eligible customers or geographical areas.
  • The permitted number of uses.
  • Conditions for using vouchers or discount codes.
  • Whether the promotion may be combined with other promotional programs.
  • Other material terms and conditions that directly affect the Customer’s rights and benefits.

Unless otherwise specified in the applicable promotional program, vouchers, discount codes, and reward points:

  • Cannot be exchanged for cash.
  • May not be sold, transferred, or used for fraudulent or unlawful purposes.
  • Will not be reinstated or refunded after expiration.
  • May be revoked if fraud, abuse, or improper use is detected.

If there is any discrepancy between abbreviated promotional content and the detailed terms and conditions of a promotional program, the official terms and conditions published by KIGORA for that program shall prevail.

10. Payment

Kigora.com currently supports two payment methods:

10.1. Cash on Delivery

The Customer pays the delivery personnel upon receipt of the Order.

Depending on the delivery area, Order value, or requirements of the delivery provider, KIGORA may contact the Customer to verify the Order before arranging delivery.

10.2. Bank Transfer

Customers may make payment by bank transfer using the official bank account details provided by KIGORA during checkout or through KIGORA’s official customer service channels.

Customers are responsible for verifying the account holder’s name, account number, beneficiary bank, and payment amount before making a bank transfer.

KIGORA shall not be responsible for any payment transferred to an account that has not been officially published or confirmed by KIGORA.

Detailed provisions regarding payment and refunds are set out in the Payment Policy published on Kigora.com.

11. Delivery, Package Inspection, Returns, and Refunds

Delivery methods, delivery providers, estimated delivery times, delivery areas, delivery fees, and package inspection procedures are governed by the Delivery and Package Inspection Policy.

Kigora.com applies a no-joint-inspection policy. Customers are not permitted to open or inspect the contents of a package together with the delivery personnel before accepting the delivery.

Customers are encouraged to record a continuous video of the entire package-opening process after receiving the package. Such video may assist KIGORA in verifying claims involving incorrect items, missing items, damaged products, or other issues relating to the package.

The eligibility requirements, time limits, and procedures for requesting a return or refund are governed by the Return and Refund Policy.

The absence of an unboxing video does not automatically result in the rejection of a customer’s claim. KIGORA will continue to receive and assess the claim based on the information, photographs, videos, packaging records, delivery records, and other relevant evidence available.

12. Rights of KIGORA

As the operator of Kigora.com and the direct seller of products, KIGORA has the right to:

  • Issue, amend, and publish operating conditions, transaction terms, and policies applicable to Kigora.com in accordance with applicable law.
  • Implement and enforce the operating conditions and transaction terms that have been duly published.
  • Determine the products offered for sale, selling prices, promotional programs, and methods of supplying products through the Website.
  • Request Customers to provide information reasonably necessary to verify and perform transactions.
  • Verify Orders or accounts that show unusual or potentially fraudulent activity.
  • Reject or cancel Orders in the circumstances specified in these Terms.
  • Suspend, restrict, or terminate Customer accounts where there are reasonable grounds to determine that an account involves impersonation, fraud, abuse, system security violations, violations of these Terms, or violations of applicable law.
  • Take reasonable measures to prevent fraud and protect the Website, Customers, and KIGORA’s lawful rights and interests.
  • Modify the content, interface, functionality, and operation of the Website in accordance with its business activities and applicable law.
  • Charge service fees where such fees apply, provided that the applicable fee, calculation method, and conditions have been disclosed in advance.
  • Request relevant authorities, organizations, or individuals to cooperate in addressing conduct that infringes upon KIGORA’s lawful rights and interests in accordance with applicable law.
  • Exercise any other rights agreed with Customers or provided by applicable law.

KIGORA currently does not charge Customers any platform usage fee for purchases made through Kigora.com.

13. Obligations of KIGORA

KIGORA shall:

  • Issue, publish, and implement the operating conditions, transaction terms, and policies applicable to Kigora.com.
  • Clearly disclose that KIGORA is the Website operator and direct seller, and that Kigora.com does not have third-party sellers.
  • Provide clear information regarding products, selling prices, and transaction terms so that Customers can review such information before placing an Order.
  • Provide complete information or, where appropriate, a summary of promotional programs applicable to buyers before Customers confirm their Orders.
  • Disclose any fees applicable to a transaction before the Customer confirms the relevant transaction.
  • Ensure that products supplied have a lawful origin and satisfy applicable legal requirements for circulation and sale.
  • Receive, confirm, package, and arrange delivery of Orders accepted by KIGORA.
  • Operate the Website and implement reasonable measures to maintain its safe and stable operation.
  • Take appropriate measures to protect Customers’ personal information and transaction information in accordance with the Information Security Policy.
  • Receive and resolve Customer requests, feedback, and complaints in accordance with the published procedures.
  • Process returns, refunds, and other applicable after-sales obligations in accordance with published policies.
  • Clearly disclose the circumstances in which Customer accounts may be suspended, restricted, or terminated.
  • Notify Customers of changes that materially affect their rights and obligations, in accordance with applicable law.
  • Retain information, documents, and transaction records as required by applicable law.
  • Cooperate with competent governmental authorities upon lawful request.
  • Perform any other obligations required under applicable laws on e-commerce, consumer protection, and other relevant legislation.

14. Customer Rights and Obligations

Customers have the right to:

  • Receive clear information regarding products, prices, promotional programs, and transaction terms.
  • Know the total amount payable before confirming an Order.
  • Select from the products and payment methods made available by KIGORA.
  • Review and correct Order information before submitting the Order.
  • Request customer support, returns, refunds, or complaint resolution in accordance with published policies.
  • Exercise rights relating to their personal data in accordance with the Information Security Policy.
  • Have their lawful rights and interests protected in accordance with applicable law.

Customers shall:

  • Provide truthful, accurate, and complete information when placing an Order.
  • Make full and timely payment.
  • Review product information and transaction terms before confirming an Order.
  • Use products in accordance with the applicable instructions, warnings, and precautions.
  • Not use the Website for fraudulent, deceptive, or unlawful activities.
  • Not interfere with, damage, disrupt, or otherwise adversely affect the normal operation of Kigora.com.
  • Not abuse promotional programs, vouchers, reward points, or KIGORA’s policies for improper or fraudulent gain.
  • Cooperate with KIGORA by providing information, photographs, videos, and documents reasonably necessary to process support requests, returns, refunds, or complaints.

15. Customer Reviews and Feedback

Where Kigora.com permits Customers to submit reviews, comments, photographs, or other user-generated content, Customers are solely responsible for the content they submit.

Customers may not submit content that:

  • Is false, fraudulent, defamatory, or intentionally misleading.
  • Insults, threatens, or infringes upon the lawful rights and interests of another organization or individual.
  • Contains another person’s personal information without lawful authorization.
  • Contains unsolicited advertising, spam, or irrelevant promotional content.
  • Violates applicable law or public morality.
  • Contains misleading claims regarding the ability of a product to prevent, diagnose, treat, or cure a disease.

KIGORA may refuse to publish or may remove content that violates these Terms or applicable law. KIGORA will not arbitrarily alter the substance or meaning of a lawful Customer review.

16. Feedback and Complaint Handling

Customers may submit feedback, requests, or complaints through the official customer service channels published on Kigora.com.

When submitting a request or complaint, Customers should provide, where applicable:

  • Full name and contact information.
  • Order number.
  • Details of the matter requiring assistance.
  • Relevant photographs, videos, or supporting documents.

The complaint handling process, response time, and resolution procedures shall be carried out in accordance with the Complaint Handling and Resolution Procedure published on the Website.

17. Force Majeure

KIGORA shall not be considered in breach of its obligations to the extent that any delay or failure to perform a transaction results from an event beyond KIGORA’s reasonable control, including but not limited to:

  • Natural disasters, fires, or epidemics.
  • War, riots, civil disturbances, or serious security incidents.
  • Widespread disruptions to electricity, telecommunications, banking systems, payment systems, or technological infrastructure.
  • Disruptions to the operations of delivery providers.
  • Decisions or measures taken by competent governmental authorities.
  • Other objective events that could not reasonably have been foreseen or overcome.

KIGORA will use reasonable efforts to mitigate the impact of such events on Customers and provide notice where reasonably necessary.

18. Amendments to These Terms

KIGORA may amend or update these Terms from time to time to reflect changes in its business operations, Website features, services, or applicable law.

The updated version of these Terms will be published on Kigora.com together with the relevant update date or effective date.

Any amendment will not adversely affect rights that have been lawfully established by a Customer in relation to an Order already confirmed by KIGORA before the amended Terms take effect, unless otherwise required by applicable law.

19. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Vietnam.

Any dispute arising out of or in connection with these Terms or a transaction between the Customer and KIGORA shall first be resolved through good-faith negotiation and cooperation between the parties.

If the dispute cannot be resolved through negotiation, either party may refer the dispute to a competent authority, organization, or court for resolution in accordance with applicable law.
